投票权代理又称表决权代理和委托投票，英文叫Vote by Proxy，这是在英美公司法中比较盛行的一种制度。授权委托书（proxy）是股东授权他人代其在股东大会上投票的书面凭据。股东如有投票权，可由他本人或其特别授权的代理人以书面委托书授权其他人代理投票。得到授权委托的人，可在股东大会上投票或就某一特定问题投票。正如韩国学者李哲松所说：“表决权的代理是指第三人为特定股东，在股东大会行使表决权，将它视为股东的表决权行使的制度。”根据投票权代理的涵义，我们不难看出其具有以下特征：1、委托人必须是有表决权的公司股东；2、受委托的“第三人”原则上应理解为可以是委托人以外的任何其他人（既可以是自然人又可以是法人或其他机构）；3、代理的对象仅限于股东的表决权而不是股东的其他权利；4、代理权行使的方式是第三人在股东大会上为特定的股东行使表决权。众所周知，股东有两种行使表决权的方式，一是自己行使，二是委托他人行使。投票权代理就属于第二种方式。投票权代理不仅是公司法上的一项制度，同时还是证券法的内容之一，作为特别法的制度，它必须以民法的代理制度为基础，遵循民法代理制度的一般原则。
